As indicated in a previous newsflash, the Grand Ducal Regulation dated December 5th 2017 (the GDRL) coordinating the amended law dated August 10th 1915 on commercial companies (the Company Law) came into force on December 19th 2017 completely modifying the numbering of the Company Law.
The disadvantage of renumbering the Company Law lies in the concordance between the old and (current) numbering introduced by the GDRL in relation to other legal texts and articles of association of existing companies or contractual documents concluded before December 19th 2017 continuing to refer to the old numbering of the Company Law.
These legal texts, as well as articles of association or contractual documents referring to the old numbering, do not need to be adapted because of the renumbering, so that they may continue to refer to the articles of the Company Law.
Therefore, in order to make it easier to read and understand the amended Company Law, you will find attached hereto a table of concordance between the old numbering and the new index numbering.
